Terms of Service for Elpulse

1. Acceptance of Terms

By downloading, accessing, or using the Elpulse mobile application or website (elpulsechart.com), collectively referred to as the "Service," you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Elpulse is provided by Elpulse ("we," "our," or "us"), a care-home management software provider. These Terms constitute a legally binding agreement between you and Elpulse.

2. Description of Service

Elpulse is a management and documentation tool designed for licensed residential care homes, group homes, and residential treatment facilities. The Service provides:

Medication administration tracking and electronic MAR (Medication Administration Record) charting
Patient and resident record management
Care planning and progress note documentation
Family portal communication tools
Staff scheduling and time-clock functionality
Compliance and incident reporting workflows

Elpulse is not a medical device, does not provide medical advice, diagnosis, or treatment recommendations, and is not a substitute for professional clinical judgment. All medication orders, care decisions, and clinical actions remain the responsibility of licensed healthcare professionals and the facility.

3. Eligibility and Account Registration

3.1 Professional Use Only

Elpulse is intended for use by professional caregivers, administrators, and staff at licensed care facilities. By registering, you represent that you are at least 18 years of age and are authorized to act on behalf of your facility or organization.

3.2 Account Types

Organization Administrators: Have full access to manage their organization, facilities, staff, and data.
Caregivers/Managers: Access is granted by an organization administrator after a request-and-approval process.
Family Members: Access is granted by an organization administrator to view information about specific residents.

3.3 Accurate Information

You agree to provide accurate and complete information during registration and to keep your account information current. You are responsible for maintaining the security of your login credentials and for all activities under your account.

4. Subscriptions and Billing

4.1 Subscription Plans

Elpulse offers subscription plans with varying features and capacity limits, as described on our website (elpulsechart.com). Subscription fees, billing cycles, and plan features are displayed on the website at the time of purchase.

4.2 Billing via Website

Subscriptions are provisioned and billed through our website (elpulsechart.com) using Stripe, our third-party payment processor. The mobile application does not process payments or offer in-app purchases. By subscribing, you authorize us to charge the selected payment method on a recurring basis until you cancel.

4.3 Free Trial

Certain plans may include a free trial period. After the trial ends, your subscription will automatically convert to a paid plan unless you cancel before the trial expires.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account on elpulsechart.com. Cancellation takes effect at the end of the current billing period. Fees paid are non-refundable except where required by law.

4.5 Plan Changes

You may upgrade or downgrade your plan through elpulsechart.com. Changes take effect according to the billing terms displayed at the time of the change.

5. User Responsibilities

5.1 Lawful Use

You agree to use Elpulse only for lawful purposes and in compliance with all applicable federal, state, and local laws, including but not limited to HIPAA, healthcare licensing requirements, and data protection regulations.

5.2 Accurate Documentation

You agree to enter accurate and truthful information into the Service. Medication administration records, incident reports, and other clinical documentation entered into Elpulse may be subject to regulatory audit. You are responsible for the accuracy of all data you enter.

5.3 Access Control

You agree to use Elpulse only within the scope of your authorization. You may not access, view, or modify data belonging to other organizations or facilities unless explicitly authorized. Sharing login credentials is prohibited.

5.4 PHI Compliance

You acknowledge that information entered into Elpulse may constitute Protected Health Information (PHI) under HIPAA. Your organization is responsible for maintaining a Business Associate Agreement (BAA) with Elpulse where required and for ensuring that all users with access are appropriately trained on PHI handling.

6. User-Generated Content

6.1 Content You Post

Elpulse allows users to post updates, messages, and notes about residents through the Family Portal and progress note features. You retain ownership of content you post. By posting, you grant Elpulse a license to host, display, and process that content for the purpose of providing the Service.

6.2 Content Standards

You agree not to post content that is:

Unlawful, harassing, abusive, or threatening
False, misleading, or fraudulent
Infringing on another person's privacy or intellectual property rights
Sexually explicit or exploitative
Promoting violence or harm

6.3 Content Reporting

If you encounter objectionable content, you may report it using the flag/report icon on any post or message. Reports are reviewed by your organization administrator. We reserve the right to remove content that violates these Terms.

6.4 Resident Privacy

When posting updates or photos about residents, ensure you have the appropriate consent from the resident or their legal guardian. Do not post sensitive medical information in family-facing updates unless authorized.

7. Acceptable Use Policy

You agree not to:

Use the Service to harm minors in any way
Attempt to gain unauthorized access to other users' data, the Service's systems, or any third-party systems
Use bots, scrapers, or automated tools to access the Service
Interfere with or disrupt the Service's servers, networks, or security features
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service to store or transmit malware, viruses, or harmful code
Resell, sublicense, or redistribute access to the Service without authorization

8. Intellectual Property

Elpulse, including its software, design, text, graphics, and logos, is owned by Elpulse and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our written consent.

Content you enter into the Service (medication records, notes, etc.) remains the property of your organization. Elpulse claims no ownership of your data.

9. Data Retention and Deletion

9.1 Data Retention

We retain your data for as long as your account is active or as needed to provide the Service and comply with legal and regulatory recordkeeping requirements applicable to healthcare providers.

9.2 Account Deletion

You may delete your account at any time through the Settings page in the mobile app. Account deletion will:

Cancel any active Stripe subscription
Remove your login credentials and personal information
Anonymize or delete associated data, subject to applicable recordkeeping requirements

Some data may be retained in de-identified or aggregated form for legal, regulatory, or analytics purposes even after account deletion.

10. Disclaimers

10.1 No Medical Advice

Elpulse is a documentation and management tool. It does not provide medical advice, diagnosis, treatment recommendations, or clinical decision support. Always consult a qualified healthcare provider for medical decisions.

10.2 No Warranty

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10.3 Accuracy of Data

While Elpulse is designed to support accurate recordkeeping, we are not responsible for the accuracy of data entered by users. Facilities are responsible for verifying the accuracy of all medication orders, administration records, and clinical documentation.

11. Limitation of Liability

To the maximum extent permitted by law, Elpulse and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

Loss of data or profits
Medical errors or adverse patient outcomes resulting from inaccurate data entry
Business interruption
Unauthorized access to your data

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold Elpulse harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of applicable laws or regulations
Content you post or data you enter into the Service
Inaccurate medication or clinical documentation entered by your staff

13. Privacy

Our handling of your data is described in our Privacy Policy, available at elpulsechart.com/privacy. The Privacy Policy is incorporated into these Terms by reference.

14. Modifications to These Terms

We may modify these Terms from time to time. We will notify users of material changes by updating the "Last Updated" date above and, where appropriate, through in-app or email notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Termination

15.1 Termination by You

You may stop using the Service and delete your account at any time through the Settings page.

15.2 Termination by Us

We may suspend or terminate your access to the Service if you violate these Terms, if your account is inactive for an extended period, or if required by law. Upon termination, your data will be handled according to our Data Retention policy.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in California.
